These general conditions have as their object the purchase of products remotely using a telematic network through the website www.ileniarosati.com owned by Ilenia Rosati, "unipersonale", with registered office in Via Cervino 28, Pisa, CF RSTLNI83E71G702P. The purchase operations will be governed by the provisions of  D. lgs. n. 185 del 22.5.1999, while the protection of confidentiality (privacy) will be subject to the discipline of Italian D. lgs. 196/2003. These general conditions are valid from 15/09/2015. They may be updated or modified by Ilenia Rosati at any time, without notice, and will be valid from the date of publication on the website www.ileniarosati.it. The Customer undertakes and obliges, whenever there is a modification of these general conditions, to read them and if he deems it appropriate to provide for their printing and storage. Art.1 - ACCEPTANCE OF THE CONDITIONS OF SALE

At this point, the Customer can conclude the contract for the purchase of the desired product by carefully following the instructions and procedures provided.

Art.2 - CONDITIONS AND METHOD OF PURCHASE
2.1 All sales prices of the products displayed and indicated on the website www.ileniarosati.it, of Ilenia Rosati, for which they constitute a public offer under art. 1336 of the Italian Civil Code, are to be considered VAT 22% included.
2.2 The total cost of shipping to the Customer's home is charged to the Customer unless otherwise specified. This cost will, in any case, be made known to the Customer before confirming the purchase.

Art. 3 - METHOD OF DELIVERY
3.1 Ilenia Rosati, through couriers, will deliver the selected and ordered products to the customers at the address indicated by them, in the manner provided for in the previous article.
3.2 The purchased goods will be delivered within the terms established by art. 6 Legislative Decree 185/1999. No responsibility can be attributed to the supplier for delayed or non-delivery due to force majeure or unforeseeable circumstances.
3.3 The customer is required to verify, upon receipt, the conformity of the product delivered to him with the order placed; only after this verification, and obviously, except for the right of withdrawal provided for in point n. 8 the customer must sign the delivery documents.
3.4 At the time of delivery of the goods, the customer must verify the integrity of the packages and the quantitative and qualitative correspondence with what is indicated in the accompanying document. 3.5 The home delivery, unless otherwise agreed in writing between the parties, will take place on the ground floor and during office hours: from 8.30 to 13.00 and from 14.00 to 18.00, every day, except holidays, from Monday to Friday.
3.6 The customer is required to be available at times described in point 3.5, in order to avoid any additional charges requested by the express courier for non-deliveries. These charges, unless otherwise agreed, will concern the customer himself.
3.7 Ilenia Rosati is not responsible for damage caused by the carrier to the products purchased.

Art. 4 - AVAILABILITY OF PRODUCTS
4.1 The customer can only purchase the products currently present in the electronic catalogue of Ilenia Rosati, visible online at www.ileniarosati.it. If the request made through an online order exceeds the quantity available for a given item, Ilenia Rosati will accept the purchase limited to what is actually available in its virtual warehouse. It will be the responsibility of Ilenia Rosati's Customer Service to inform the customer (at times and in the manner it deems most appropriate) whether or not the products ordered will be available in the future.

Art. 5 - LIABILITY
5.1 Ilenia Rosati assumes no responsibility for inefficiencies attributable to force majeure such as accidents, explosions, fires, strikes and / or lockouts, earthquakes, floods and other similar events that prevented, in whole or in part, from carrying out the times agreed in the contract.

Art. 6 - ASSISTANCE AND WARRANTY
The quality of our products ranks at the top of their respective categories and the storage and shipping methods have been designed to ensure their conservation over time. All our products are covered by a warranty for any defect or flaw inherent in the product itself, to be reported within 8 days of discovery. Art. 8 - RIGHT OF WITHDRAWAL
8.1 According to Art. 5 of D.lgs. 22 May, 1999, n. 185 the Customer can exercise the right of withdrawal, returning the goods received and obtaining a refund of the price paid.
8.2 The consumer who for any reason is not satisfied with the purchase made, has the right to withdraw from the stipulated contract, without any penalty and without specifying the reason, within 10 working days from the day of receipt of the purchased goods.
8.3 All costs of returning the products are charged to the Customer who, directly or by other means, will deliver them to the seller's domicile; all items must be received in the same conditions as they were received, with the original packaging and any manuals and / or instruction booklets that are part of the packaging and the original packaging; it is not allowed to return the goods in any other way.
8.4 To exercise the right of withdrawal, the Customer must, within the period indicated above, send a registered letter with return receipt to the following address: Ilenia Rosati, Via Cervino 28 Pisa, Italy. 8.7 Ilenia Rosati will not compensate the Customer in the event of loss or damage to the goods being returned. The right of withdrawal is excluded in the case of the purchase of goods made to measure or personalized or which by their nature cannot be returned or are liable to deteriorate or expire rapidly. Art. 9 - RETURNS 
9.1 Any returns will not be accepted unless previously agreed in writing by us. If the return is due to an order error by the Customer, an amount equal to 20% of the total invoice will be withheld as a refund of expenses. The amount already paid cannot be refunded and will result in a purchase voucher valid for one year from its date of issue. After this deadline, no deduction can be applied to subsequent orders. If there has been an error in the processing of the order by Ilenia Rosati and a product other than the one ordered has been delivered to the Customer, the Customer may request its replacement. Art. 10 - AUTHORIZATIONS

Art. 11 - CONTRACTUAL RESOLUTION AND DECLARED RESOLUTIVE CLAUSE
11.1 Ilenia Rosati has the right to terminate the stipulated contract by simply notifying the Customer indicating the reason; in this case, the Customer will only be entitled to a refund of any sum already paid.
11.2 The obligations assumed by the Customer pursuant to art. 7 (Obligations of the buyer), as well as the guarantee of the successful completion of the payment that the Customer makes with the means referred to in art. 2, have an essential character, so that by declared agreement, the non-fulfilment by the Customer of only one of these obligations will result in the legal termination of the contract pursuant to Article 1456 of the Italian CODICE CIVILE, without the need for judicial decision, without prejudice to the Ilenia Rosati right, to take legal action for compensation for further damage.

Art. 13 - JURISDICTION AND COMPETENT COURT
13.1 Any dispute relating to the application, execution, interpretation and violation of the purchase contracts stipulated online through the Ilenia Rosati website www.ileniarosati.it is subject to Italian jurisdiction; these general conditions are reported, although not expressly provided therein, in conjunction with del D.lgs. n. 50 del 15.1.1992 e del D.lgs. n. 185 del 22.5.1999.
13.2 Any dispute between the parties regarding this contract will be the exclusive competence of the Court of Pisa.

Art. 14 - RIGHT OF RETENTION OF OWNERSHIP
14.1 The goods remain our unlimited property until full payment of the purchase price.
All sales are made with explicit retention of ownership, so the customer cannot sell, pledge or transfer the goods until the debt is fully extinguished.
The only case in which the Buyer may be authorized to sell the goods to third parties (subject to written communication to the selling company) is that aimed at collecting the price of the aforementioned resale in order to regularly fulfill his obligations towards us. In any case, the Buyer now assigns to our company his claims deriving from these disposals, as well as the rights relating to the retention of title agreed in turn. The Buyer is obliged, upon our request, to communicate the assignment of such rights to subsequent buyers, providing us with the information and documents necessary to assert the assigned rights against subsequent buyers.
14.2 In instalment sales, the Buyer will acquire ownership of the goods or products by paying the last instalment of the price and any interest. In the event of termination of the contract, without prejudice to the other provisions of the law on sale with retention of title, as well as the obligation to return it, the instalments and advances collected by the Seller will remain acquired by way of rent or indemnity, except the greatest damage.
14.3 The Buyer at the request of the Seller must provide him with assistance so that the Seller can maintain the property in accordance with the provisions of the local regulations. The retention of title will in no way affect the passing of risks.
14.4 Until full payment of the Product, the Buyer will be considered as the simple owner of the Product and consequently must keep it in perfect condition, as required by Article 1768 of the Italian Civil Code.
14.5 The Buyer undertakes to proceed with the immediate return of the goods subject to retention of title in the event that there are serious reasons, such as for example late payment, bill of exchange protest or protested check, insolvency procedure and similar indications of deterioration of his patrimonial situation. In the event that the purchaser cannot or does not wish to proceed with the return of the goods subject to retention of title, the same agrees as of now to the selling company the right to exercise its rights in the terms and methods most congenial to it, including the possibility of proceeding, directly or through a third party, with their recovery. Until that time, the Buyer must store the goods with retention of title separately from the other goods, mark them as our property, must not dispose of them and upon request must send a list of the goods with retention of title. The Buyer must also notify us without delay the intervention of third parties on the goods with reservation of title or the assignment of credits and must send the foreclosure report and a substitutive declaration of oath concerning the identity of the foreclosed object with the reserved property.
